Special Meeting of the Membership

Purpose & Process

Why are we not permitted to bring up "New Business" or have a general discussion?

This is a legal protection for you. Under South Carolina law and Robert’s Rules of Order, a Special Meeting is restricted strictly to the specific items listed in the "Notice of Meeting."

  • The Reason: This protects homeowners who cannot attend. They have the right to know exactly what will be voted on. If we allowed new topics or surprise motions that weren't in the Notice, it would be illegal and unfair to absent members.

  • The Result: To ensure the meeting is efficient and legal, the Chair will not entertain general grievances or open floor speeches. We are there strictly to vote on the Agenda.

Why do we need to vote to "Halt the Election" if the meeting is already happening?

We must legally clear the slate. The current Board has attempted to run an election process that violates our governing documents.

  • The Violation: They failed to appoint a Nominating Committee, which is explicitly required by Bylaws Section 6.1.

  • The Fix: By voting "YES" on Item I, the membership officially declares that flawed process void, ensuring no "fake" election results can be used later.

Why are we voting to retract the "2023 Covenant Amendment"?

A document was filed with Richland County claiming the covenants were changed. This document is invalid. By voting "YES" on Item II, the membership orders the Board to officially correct the public record on the following grounds:

  1. Falsification of Votes: The voting records were falsified and do not accurately reflect the will of the membership.

  2. Lack of Supermajority: The amendment failed to achieve the required legal threshold of votes necessary to change the covenants.

  3. Irregularities: The voting process contained significant discrepancies as originally detailed in formal correspondence sent to the Board, which were ignored.

Why does the current Board need to be removed immediately?

The Board has lost the trust of the membership by failing to uphold the Bylaws and transparency standards. Specifically:

  • Filing invalid legal documents with the County.

  • Ignoring valid petitions from homeowners.

  • Operating without the required committees (Nominating).

  • We need a reset. We need leadership that follows the rules and listens to the homeowners.

If we remove them, why do we need to elect a new Board right away?

We cannot leave the HOA without leadership. If we remove the directors but do not replace them, the HOA becomes "rudderless," which could lead to expensive legal issues or court-appointed Receivership.

  • Item IV allows us to immediately elect an Interim Board.

  • These new directors will step in that same night to secure the bank accounts, access the records, and begin stabilizing the community.

Why are we establishing new Standing Committees (Item V)?

To ensure no single Board ever holds total power again. We will vote to immediately form the Nominating, Election, Governing Documents, and Violation Review Committees.

  • These committees involve more neighbors in the process.

  • They provide "checks and balances" so that future elections and rule changes are handled fairly, not by a small group behind closed doors.

When and how will the votes be counted?

There is no "back room" counting.

  • When: Votes are counted live during the meeting, immediately after ballots are collected.

  • How: The votes will be tallied in front of the room, and the results will be announced before the meeting adjourns.

What is a "Proxy" and why is it needed?

A Proxy is a legal form that allows another person to cast your vote if you cannot attend.

  • Why it’s critical: To remove the Board, we need 53 YES votes. If you are sick, working, or out of town, your vote is lost unless you sign a proxy. Without proxies, we likely cannot reach the number needed to fix the HOA.

Can I trust the person I give my proxy to?

Yes, because you control the vote.

  • The Proxy form allows you to check "General" (trusting their judgment) OR "Directed" (telling them exactly how to vote).

  • If you don't know who to ask, you can assign your proxy to the Petitioner (Anansa Jenkins). She is legally bound to cast your vote exactly as you instruct on the form.
